Who it is for

For a simple deal that fits none of the other four: each side lists what it will do, and the contract sets out payment, how long it lasts and how it can be ended.

What it covers

9 clauses, in this order. Each one is in the sample text below, and you can edit, remove or add clauses before you send.

  • 1. Purpose

    A blank for the subject of the agreement: it records what the parties have agreed about it.

  • 2. Obligations of Party A

    A blank list of what Party A will do.

  • 3. Obligations of Party B

    A blank list of what Party B will do.

  • 4. Consideration and payment

    Who pays what: you name the paying party, and it pays the amount in the price schedule, or an amount you write in, on the stated payment terms.

  • 5. Term

    The agreement runs from the effective date to the end date, unless it is ended earlier.

  • 6. Termination

    Either side can end it with notice, or at once after a serious breach that is not put right in time.

  • 7. Liability

    Each side is liable, as the law provides, for damage it causes by breaking the agreement.

  • 8. Amendments

    Changes count only if both sides agree in writing or electronically.

  • 9. Governing law and disputes

    The law you name applies. The sides first try to settle a dispute in good faith, and otherwise the courts you name decide.

A price schedule is optional: add one if you want the amounts in a table, or write the agreed amount into the payment clause.

How to use it

What it is, and what it is not

QuoteBill creates a simple electronic signature with an audit trail. Many countries do not refuse a signature just because it is electronic, and this kind of signature is generally accepted for many business contracts.

It is not a qualified or advanced electronic signature, and QuoteBill does not verify who the signers are. It records the use of the link and access code you delivered, so anyone who has both can sign. The certificate lists every link issued and the IP address of every action.

Some documents need another form. Wills, many real-estate transfers, guarantees and some employment documents must, in some countries, be handwritten, notarised or signed with a qualified signature. The templates are samples, not legal advice: review them with a lawyer.
