Who it is for

For a cleaning company that cleans offices, shops or other business premises on a schedule with its own staff, and the client who wants areas, schedule, access, quality and liability in writing.

  • 1. Purpose

    What the agreement is for: the Cleaning Company cleans the Client’s business premises regularly, with its own staff, equipment and products.

  • 2. Premises and areas

    Blanks for the address, size, the areas to be cleaned and the areas left out. Areas change only by agreement, with the matching change in the price schedule.

  • 3. Services and schedule

    A blank for the cleaning tasks, then how often and at what times regular cleaning happens, when periodic tasks are done, what happens on public holidays and how the schedule can be changed.

  • 4. Supplies and equipment

    The cleaner brings its own equipment and products and uses ones suited to the surfaces. The Client provides water, power and a lockable store. You choose who supplies consumables such as toilet paper and soap.

  • 5. Access and keys

    A set number of keys or cards and the alarm codes are handed over against a receipt. The cleaner tracks who holds them, does not copy them, reports a loss quickly and pays for replacements, and locks up and sets the alarm when leaving.

  • 6. Cleaning staff

    The staff are the cleaner’s own employees or subcontractors; the cleaner alone is their employer. They are identifiable, trained and briefed. The Client can ask for a replacement and gives instructions through the cleaner, not to staff.

  • 7. Quality checks and re-cleaning

    Work follows the attached checklist. The cleaner’s supervisor inspects regularly. A shortfall reported within a set time is re-cleaned free within a set period, and repeated complaints lead to a meeting on corrective measures.

  • 8. Insurance

    The cleaner holds business liability insurance with at least a set amount of cover per claim, plus the staff insurance the law requires, and shows a certificate on request.

  • 9. Damage and reporting

    The cleaner is liable for damage its staff cause and repairs, replaces or pays for it. Staff report damage, hazards, defects and found property by the next working day. Existing damage is noted at the start.

  • 10. Fees and payment

    A monthly fee from the price schedule covers the regular cleaning; extras are quoted first. The fee can be adjusted once a year with notice, and the Client may end the agreement rather than accept the adjustment.

  • 11. Confidentiality and conduct

    The cleaner and its staff keep everything they see in the premises confidential, do not read or remove documents, do not use the Client’s equipment and follow the Client’s rules on smoking, security and waste.

  • 12. Term and termination

    A set initial term that renews unless either side gives notice. Either side can end the agreement with notice, or at once after a serious breach that is not put right in time. Keys and codes go back on the last day.

  • 13. Liability

    Each side’s liability is limited to the fees of a set recent period, except for intent, gross negligence, personal injury, insured damage and cases where the law does not allow a limit. No liability for indirect losses.

  • 14. Governing law and disputes

    The law you name applies. The sides first try to settle a dispute in good faith, and otherwise the courts you name decide.

A price schedule (items, quantities and prices) is part of this contract. It starts empty, in your currency, and the clauses on fees and payment point to it.

Cleaning Services Agreement

Parties: Cleaning Company · Client

1. Purpose

This agreement sets out the terms on which the Cleaning Company cleans the Client’s business premises described below, regularly and with its own staff, equipment and products.

2. Premises and areas

Premises: [[Address of the premises]], about [[500]] square metres.

Areas to be cleaned: [[e.g. offices, meeting rooms, kitchen, toilets, reception, corridors and stairs]].

Not included: [[e.g. server room, warehouse, exterior windows]]. Areas are added or removed only by agreement in writing or in electronic form, with the matching change in the price schedule.

3. Services and schedule

The Cleaning Company performs the following cleaning services:

Regular cleaning takes place [[five times a week, Monday to Friday]] between [[18:00]] and [[22:00]], outside the Client’s business hours unless agreed otherwise. Periodic tasks (such as window cleaning inside, carpet shampooing or deep cleaning of the kitchen) are performed [[quarterly]] on dates agreed at least [[7]] days in advance. On public holidays the cleaning is moved to the next working day unless the parties agree otherwise. The Client may ask to change the schedule with [[14]] days’ notice; the Cleaning Company agrees to reasonable requests.

4. Supplies and equipment

The Cleaning Company provides the cleaning equipment, machines and cleaning products needed for the services and uses products suitable for the surfaces in the premises and in line with the safety information for each product. The Client provides water, electricity and a lockable storage space for equipment and products free of charge. Consumables for the Client’s use (toilet paper, paper towels, soap, bin liners) are supplied by [[the Cleaning Company at the prices in the price schedule / the Client]].

5. Access and keys

The Client gives the Cleaning Company [[2]] keys or access cards and the alarm codes needed to enter the premises at the agreed times, against a signed receipt. The Cleaning Company keeps a record of who holds each key, hands them only to staff assigned to the premises, does not copy them and returns them on the last day of the agreement. If a key or card is lost, the Cleaning Company tells the Client within [[24]] hours and bears the reasonable cost of replacing it and, where necessary, the affected locks. The Cleaning Company arms the alarm and locks the premises when its staff leave.

6. Cleaning staff

The Cleaning Company performs the services with its own employees or subcontractors, whom it selects, instructs, supervises and pays, and for whom it alone is responsible as employer, including wages, taxes, social contributions, insurance and work permits. Staff wear identifiable clothing or badges, are trained for the tasks and the products they use, and are briefed on the Client’s premises. The Client may ask for a member of staff to be replaced for a stated reason, and the Cleaning Company does so within [[7]] days. The Client gives no instructions to the staff directly, other than in an emergency, and raises matters with the Cleaning Company’s contact person.

7. Quality checks and re-cleaning

The services are performed to the standard described in the cleaning schedule or checklist attached to this agreement. The Cleaning Company’s supervisor inspects the premises at least [[once a month]] and records the result; the Client may take part. If the Client reports a shortfall within [[24]] hours of the cleaning in question, the Cleaning Company re-cleans the affected areas within [[1]] business day at no extra charge. If the Client reports a shortfall in the same area [[3]] times in [[2]] months, the parties meet to agree corrective measures.

8. Insurance

The Cleaning Company maintains business liability insurance covering damage to the Client’s property and injury to persons caused by its staff, with cover of at least [[Amount]] per claim, and employer’s liability or accident insurance for its staff as the applicable law requires, for the whole term of this agreement. It gives the Client a certificate of insurance on request and tells the Client without delay if the cover changes or ends.

9. Damage and reporting

The Cleaning Company is liable for damage to the premises, furniture, equipment and goods that its staff cause while performing the services, and repairs or replaces the damaged item or pays its value. Its staff report to the Client, by the next working day, any damage they caused or found, safety hazards, defects they notice (such as leaks or broken fittings) and property they found. Damage that was already present is noted when the services start, so it is not attributed to the Cleaning Company. The Cleaning Company is not responsible for damage caused by the Client’s own instructions or by following the Client’s product requirements.

10. Fees and payment

The Client pays the monthly fee and the prices for periodic and additional services shown in the price schedule of this contract, on the payment terms stated in it. The monthly fee covers the regular cleaning described in this agreement; additional services requested by the Client are quoted in advance and charged at the rates in the price schedule. The Cleaning Company may adjust the fees once a year with [[60]] days’ notice in writing or in electronic form to reflect changes in wages and costs; if the Client does not accept the adjustment, it may terminate this agreement at the date the adjustment would take effect.

11. Confidentiality and conduct

The Cleaning Company and its staff keep confidential everything they see or learn in the premises, including documents, screens, conversations and the security arrangements, and do not read, copy, photograph or remove documents or data carriers. Staff do not use the Client’s telephones, computers or equipment, do not bring unauthorised persons into the premises, and respect the Client’s rules on smoking, security and waste separation they were given. These duties continue after the agreement ends.

12. Term and termination

This agreement starts on the effective date and runs for [[12]] months. It is extended by [[12]] months at a time unless either party gives notice of non-renewal at least [[2]] months before the end of the current term. Either party may terminate it with [[1]] month’s notice to the end of a month in writing or in electronic form, or without notice if the other party seriously breaches it and does not remedy the breach within [[14]] days of being asked to. On the last day the Cleaning Company returns all keys, cards and codes and removes its equipment and products.

13. Liability

Except for intent, gross negligence, personal injury, the damage covered by the Insurance clause or where the law does not allow a limitation, each party’s total liability under this agreement is limited to the fees paid or payable under it in the [[12]] months before the event giving rise to the claim. Neither party is liable for indirect losses such as lost profit.

14. Governing law and disputes

This agreement is governed by the law stated under Governing law. The parties will first try to settle any dispute in good faith. Otherwise the courts stated under Jurisdiction decide, unless mandatory law provides otherwise.

Payment terms

The monthly fee is invoiced at the start of each month and payable within [[14]] days of receiving the invoice; additional services are invoiced after they are performed. Payment by bank transfer to the account stated on the invoice.

What it is, and what it is not

QuoteBill creates a simple electronic signature with an audit trail. In the EU, the UK, the US and Korea a signature is not denied legal effect only because it is electronic, and in Japan most contracts need no particular form at all. What a simple electronic signature proves in a dispute depends on the evidence behind it, and some documents need another form.

It is not a qualified or advanced electronic signature, and QuoteBill does not verify who the signers are. It records the use of the link and access code you delivered, so anyone who has both can sign. The signature certificate lists every link issued and, for each action by the sender or a signer, its IP address and browser where they could be read.

Some documents need another form. Wills, many real-estate transfers, guarantees and some employment documents must, in some countries, be handwritten, notarised or signed with a qualified signature. The templates are samples, not legal advice: review them with a lawyer.
