What it is

A master services agreement, or MSA, is a framework contract between a service provider and a client who expect to work together more than once. It settles the terms that would otherwise be repeated in every project: how and when the provider is paid, who owns what is produced, what each side keeps confidential, how far each is liable if something goes wrong, and how the relationship ends.

The individual jobs are then agreed in short statements of work (SOWs) that refer back to the MSA. This template covers the framework side: both parties, the term and renewal, payment and taxes, intellectual property, subcontractors, confidentiality, an optional personal-data clause, warranties, a limit on liability, termination, and the governing law and courts. The partner form, Statement of Work, picks up from here and quotes the MSA by date and reference.

When to use it
  • You will work with the same client or provider on several projects, and do not want to renegotiate terms each time.
  • A client asks for a framework contract before it will sign any individual project.
  • You are a freelancer, agency or consultancy who wants fixed rules on payment, ownership and liability.
  • You want one document that several statements of work can plug into.
How to fill it in
  1. Enter the effective date, an optional agreement number and a few words on the kind of services.
  2. Set the initial term, whether it renews, and the notice and cure periods.
  3. Fill in both parties. Your saved company details go into the provider block; type the client.
  4. Choose currency, payment period, tax treatment, the cap on liability and who owns the deliverables.
  5. Tick confidentiality and personal data if they apply, and add any extra terms.
  6. Pick the country to get its governing-law wording, then print for signature or download as Word.
Common mistakes
  • Signing the MSA but never signing a statement of work, so no project is actually described or priced.
  • Leaving the governing law or courts empty, or choosing a law that neither side knows.
  • Capping liability without checking that your country lets you; some losses cannot be limited by contract.
  • Assuming the provider is automatically an independent contractor because the contract says so.
  • Forgetting that the term renews by itself, and missing the notice date.
  • Using the template for an employee or a consumer; those relationships have their own rules.

Your details fill it in

Fields that ask for your name, address or company details are filled from My details, so you do not type them again; you can still change any field for one form. Signed in, your details stay in your account; otherwise they stay in this browser only. A passport, identity or social security number is never saved.

Questions

What is the difference between an MSA and a statement of work?
The MSA holds the terms that stay the same: payment rules, ownership, confidentiality, liability. Each SOW describes one project: scope, deliverables, schedule and price. Together they form the contract for that project.
Does a liability cap always hold up?
No. Many countries do not allow liability for intent, fraud, death or personal injury to be limited, and some apply a fairness check to caps in standard terms. The clause says it applies only as far as the law allows, but a local adviser should confirm what is possible where you are.
Who should own the deliverables?
It is a commercial choice. Clients often want ownership once they have paid; providers often want to keep reusable tools and know-how. The template offers client ownership after full payment, provider ownership with a licence, or a decision in each SOW. Some countries have special rules for transferring copyright, which the country notes point out.
Can I sign it electronically?
In many countries a service contract can be signed electronically, but rules differ and some require a particular form. QuoteBill also offers e-signing for contracts; check what your country and the other side accept.
Is this template legal advice?
No. It is a general template in plain language. Whether it fits your situation depends on the law that applies, so have a qualified adviser review it before a significant engagement.
Is this form legal, tax or accounting advice?
No. It is a template: it gives you the usual structure and wording, not advice. Rules differ by country and case, so have someone qualified read anything that matters before you sign, send or file it.
Which countries and designs does it come in?
It comes in 6 country versions: International, United States, United Kingdom, Korea, Japan, and Germany. 12 designs.
